Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the services provided by ScudoAI sp. z o.o. ("Scudo AI", "we", "us", "our"), including our Private AI solutions, website, and related services.
By using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Service Description
Scudo AI provides:
- Private AI solutions that run locally on customer hardware
- Purpose-built AI agents for regulated industries
- Consultation and implementation services
- Technical support for deployed solutions
Important: Our AI solutions are designed for B2B (business-to-business) use only. They are not intended for consumers.
3. Data Ownership
You retain full ownership of your data. Our Private AI solutions process data entirely on your hardware. We do not access, collect, or store your business data.
- All data processed by our AI agents remains on your premises
- We have no access to your proprietary information
- You maintain complete control over your data at all times
4. License Grant
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable license to:
- Use our AI solutions on your designated hardware
- Deploy our software within your organization
- Receive updates and support as specified in your agreement
You may not:
- Resell, sublicense, or distribute our software
- Reverse engineer or decompile our software, except as permitted by Art. 75(2)-(3) of the Polish Copyright Act and Directive 2009/24/EC (mandatory decompilation right for interoperability)
- Remove or alter any proprietary notices
5. User Obligations
You agree to:
- Use our services only for lawful purposes
- Maintain appropriate security measures on your systems
- Ensure compliance with applicable laws and regulations
- Provide accurate information when required
- Not use our AI solutions for harmful, illegal, or unethical purposes
6. Service Availability
Since our solutions run locally on your hardware, availability depends primarily on your infrastructure. We commit to:
- Providing software that meets agreed specifications
- Responding to support requests within agreed timeframes
- Providing security updates and patches
Specific SLA terms are defined in individual service agreements.
7. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the higher of (a) the fees paid for the services in the 12 months preceding the claim or (b) EUR 10,000
- We are not liable for indirect damages or lost profits
- We are not liable for data loss or corruption on your systems
These limitations do not apply to (i) liability for intent (wina umyślna) or gross negligence under Art. 473 §2 of the Polish Civil Code, (ii) liability for damage to life or health, (iii) liability for defects fraudulently concealed, or (iv) any other liability that cannot be excluded under mandatory law.
8. Termination
Either party may terminate the agreement:
- With 30 days written notice for convenience
- Immediately for material breach (if not cured within 14 days of notice)
Upon termination, you must cease using our software. You retain ownership of all your data.
9. Data Portability (EU Data Act)
In compliance with the EU Data Act (effective September 2025):
- You can request export of your configuration data in a machine-readable format
- We provide documentation to facilitate migration to alternative solutions
- No switching charges apply (from January 2027)
10. Governing Law
These Terms are governed by the laws of Poland. Any disputes shall be resolved by the competent courts in Poland.
These Terms are intended for B2B use only (see Section 2). Where they are nonetheless applied in a B2C context, mandatory consumer-protection rights of the consumer's place of habitual residence prevail (Art. 6 Rome I Regulation), and the consumer may bring proceedings before the courts of their domicile (Art. 18 Brussels I bis Regulation).
11. Changes to These Terms
We may modify these Terms with 30 days advance notice. Continued use of our services after changes constitutes acceptance of the new Terms.
